Terms of Service

By accessing, registering for, or using Steelink software (the "Software"), you agree to be legally bound by these Terms of Service. If you do not accept these terms, you must not use our services.

These terms constitute a legally binding agreement between Links Consulting S.A. de C.V. ("Steelink", "we", or "us") and you or the entity you represent (the "Customer" or "you").

Steelink is a manufacturing resource planning (MRP) system specialized for the metalworking industry that includes:

• Production control: Work order management, sequencing, and tracking
• Inventory management: Control of materials, steel, and components
• Traceability: Tracking of parts from receipt to delivery
• Shipment management: Control of shipments and documentation
• Reports and analytics: Production and performance KPIs
• Control panel: Real-time dashboard for decision-making

License Grant

Steelink grants you a non-exclusive, non-transferable, limited license to use the Software solely for your internal metalworking manufacturing operations during the active subscription period.

Use Restrictions

You may not:

• Sell, resell, rent, or sublicense the Software
• Decompile, reverse engineer, or disassemble the Software
• Modify or create derivative works of the Software
• Use the Software to provide services to third parties
• Circumvent technical protection measures
• Share access credentials

Subscription Plans

Steelink offers three subscription plans with different levels of functionality and users:

• Basic Plan: $80,000 MXN annually or $8,500 MXN monthly
• Standard Plan: $100,000 MXN annually or $10,500 MXN monthly
• Premium Plan: $120,000 MXN annually or $12,500 MXN monthly

Implementation Fee

A one-time payment of $20,000 MXN is required for initial implementation, including system configuration, team training, and basic data migration.

Payment Terms

• Payments are processed by bank transfer or credit card
• Annual subscriptions are paid in advance
• Monthly subscriptions are charged automatically each month
• Prices do not include VAT or other applicable taxes
• Steelink reserves the right to change prices with 30 days notice

Implementation Services

The implementation fee includes:

• Initial system configuration according to your requirements
• Initial training for 5 users
• Basic data migration (up to 500 records)
• Support during the first 4 weeks

Customer Responsibilities

• Provide accurate information for configuration
• Assign personnel for training
• Maintain minimum technology infrastructure
• Back up your critical information

Support Levels

• Standard Support: Monday through Friday, 9:00 - 18:00 (Central Time)
• Premium Support: Available 24/7 for critical cases
• Support channels: Email, telephone, and ticket portal

Response Times

• Critical: 2 hours
• High: 8 hours
• Medium: 24 hours
• Low: 72 hours

Steelink commits to maintain 99.5% monthly service availability (excluding scheduled maintenance).

Scheduled Maintenance

We generally perform scheduled maintenance during weekends or nighttime hours, with at least 48 hours notice.

Data Ownership

You own all data you enter and generate in Steelink. We do not claim ownership of your production, inventory, or customer information.

Intellectual Property

Steelink and all associated intellectual property rights belong to Links Consulting S.A. de C.V. These terms do not grant you any rights to Steelink intellectual property.

Confidential Information

Both parties agree to keep confidential any business, technical, or financial information shared during the business relationship.

Confidentiality Obligations

• Not disclose information to unauthorized third parties
• Use information exclusively for the agreed purposes
• Maintain reasonable security measures
• Return or destroy information at the end of the relationship

To the fullest extent permitted by applicable law, Steelink will not be liable for:

• Loss of profits or indirect income
• Consequential or incidental damages
• Business interruptions
• Loss of business information

Steelink total liability under these terms will not exceed the amount paid for the last 3 months of service.

Termination by the Customer

You may cancel your subscription at any time with 30 days written notice. No refunds will be issued for periods already paid.

Termination by Steelink

We may terminate the service immediately if you:

• Breach these terms of service
• Use the software for illegal activities
• Fail to pay the applicable fees
• Compromise system security

Effects of Termination

When the service ends, you will lose access to the Software. We will provide your data in a standard format within 30 days after termination.

These terms are governed by the laws of the United Mexican States. Any dispute will be resolved through good-faith negotiation and, if that is not possible, by the competent courts of Torreón, Coahuila.
